Terms of Service

Who we are

These terms govern use of the Cloud & Kubernetes Performance & Compliance platform ("the Service") at compliance.noviqent.co.uk, provided by Noviqent Ltd, company no. 17232197, registered in England & Wales ("Noviqent", "we", "us"). By creating an account or using the Service, you and your organisation accept these terms.

The Service

The Service scans AWS, Azure, GCP, and Kubernetes environments you connect and returns security, compliance, reliability, and cost findings and recommendations, using read-only access at every connection tier we offer.

Your account

You're responsible for the accuracy of your account details and for keeping your credentials secure. If you're an organisation admin, you're responsible for the roles and access you grant other members of your organisation within the Service.

Acceptable use

You agree not to: connect a cloud or Kubernetes environment you're not authorised to scan; attempt to access another organisation's data; probe, disrupt, or reverse-engineer the Service beyond what's needed for ordinary use; or resell or provide the Service to third parties without our written agreement.

Your data

You and your organisation retain all rights to the cloud configuration, findings, and reports the Service generates for you. You grant Noviqent a limited licence to process that data solely to provide the Service, on the terms set out in our Privacy Notice and, where your organisation has one in place, your Data Processing Agreement with us.

Fees

Where your plan is a paid one, fees are as set out in your order form, invoice, or account settings, and are due as stated there.

Availability

We aim to keep the Service available and will give notice of planned maintenance where practical, but we don't guarantee uninterrupted availability unless a specific uptime commitment is separately agreed in writing.

Findings are advisory

Findings, compliance mappings, and cost or reliability recommendations are provided to help your team prioritise. They're not a guarantee of compliance, security, or savings, and your organisation remains responsible for its own compliance obligations and configuration decisions.

Intellectual property

Noviqent retains all rights in the Service itself, including its rules, scoring, and recommendation logic. Reports and findings generated for your organisation are yours to use internally.

Liability

To the extent permitted by law, Noviqent's total liability arising from these terms or the Service is limited to the fees your organisation paid in the 12 months before the claim arose. Nothing in these terms limits liability that can't lawfully be limited, including for fraud or for death or personal injury caused by negligence.

Termination

Either party may terminate an account or subscription as set out in your order form, or on reasonable notice where none is specified. On termination, we'll delete your organisation's data within a reasonable period, other than what we're required to retain.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.

Changes to these terms

We'll post updates here and, where a change is material, make reasonable efforts to notify organisation admins directly.
